According to current legislation, the company must have at least 10 persons, the majority of whom must be Singaporean citizens and its nature must not be a company, association, partnership, cooperative, mutual benefit organization, trade union, foreign insurer or a learning institution committee.
In addition, the president, treasurer and secretary of the company must also be Singapore citizens or permanent residents. These and the requirements for the company to be majority composed of Singaporean citizens are null and void if.

The following information must be provided before the company can be registered:
– The name of the company together with two alternative names with their meaning and significance.
– Email, telephone number and/or fax number.
– Physical address where the administration of the company will be carried out.
– The Constitution of the Company in a Word document.
– The Constitution of the Affiliated Organization, in its case in English.
– Letters of Affiliation, in its case in English.
– Letters of approval/support from government agencies, organizations, personalities, academia, etc., when necessary, in English.
The following information on committee members should be provided:
– Name, NRIC No/FIN/Passport No., Date of Birth
– Position title (eg, president, secretary, treasurer, ordinary member, etc.)
– Residence address
– Nationality, Singapore Resident Status
– Gender, Marital Status, Race, Dialect Group, Religion
– Contact information
– Educational qualifications, current employment status
– Membership of other companies, if any.
The company application can be submitted through the normal physical channels or the automatic online registration.
In case of automatic registration, the company must fall under any of the Schedules Section 4 (1) and 33A. If the nature of the company does not meet any of the schedules, then it will need to register through the normal process.
Once the application is submitted, a company that has gone through the normal registration processes will have to wait for STR Master Approval before payment can be made; however, a company that is registered using automatic registration can make the payment and begin operations without waiting or delay.
In addition, a company that has been registered under the normal registration can only start its activities after being listed in the Gazette, otherwise, a penalty of not more than SGD 500 will be imposed. Once the company starts operating, you must submit to the ROS an Annual Declaration Form 6A that contains the data of the administration committees. The form must detail how many voting and non-voting members there are in the society. A copy of the income and expenses of the company must also be submitted in writing together with the previous year’s audited balance sheet in accordance with Companies Regulation 7(1)(b), unless the company can declare in writing that it is not not have monetary transactions, assets or liabilities for the specified year.
